Program Overview

Company produces online virtual events and summits under the HobbyScool brand (each an "Event"). As part of certain Events, Company offers a Digital Swag Bag, which is a curated collection of free digital gifts made available to Event registrants.

This Agreement governs Contributor's paid participation in one or more Digital Swag Bag inclusions. Each Digital Swag Bag inclusion is associated with a specific Event and requires a separate purchase.

Digital Swag Bag Details

Digital Swag Bag details — including the applicable Event(s), access period(s), and inclusion fee(s) — will be specified at the time of purchase or in accompanying documentation.

Contributor understands and agrees that:

• Payment secures Digital Swag Bag inclusion only for the Event(s) selected at checkout.
• Inclusion does not guarantee leads, email subscribers, sales, visibility, or conversions.
• Digital Swag Bag participation does not include speaking opportunities or speaker benefits.

Contributor Gift Requirements

Contributor agrees to provide one (1) free digital gift per purchased Digital Swag Bag inclusion, unless otherwise agreed to in writing by Company.

Each gift must:

• Be delivered in a digital format only (e.g., PDF, guide, checklist, template, video, audio)
• Be owned entirely by Contributor
• Not infringe upon the intellectual property rights of any third party
• Be appropriate for HobbyScool's audience and brand standards

Contributor is solely responsible for:

• Hosting and delivery of each gift
• Creating and maintaining all necessary links, opt-in pages, or 100% off coupon codes
• Ensuring each gift remains accessible for the full Digital Swag Bag access period for the applicable Event

Contributor may submit the same or different digital gifts for separate Digital Swag Bag inclusions, subject to Company approval.

Promotion Requirements

Contributor acknowledges and agrees:

• Promotion of any Event is not required for Digital Swag Bag participants.
• Contributor is not required to email, post on social media, or otherwise promote any Event.
• Contributor understands they are not a speaker and will not receive speaker-related promotion, placement, or exposure.

Optional Affiliate Participation

Contributor may optionally apply to participate in Company's affiliate program for one or more Events.

If approved:

• Company will provide a unique tracking link.
• Affiliate commissions, if any, will be governed by Company's separate Affiliate Agreement.
• Commissions are earned only on sales tracked through Company's system.

Affiliate participation is optional, not guaranteed, and may be revoked at Company's discretion.

Company Responsibilities

Company agrees to:

• Host and manage the Event(s) and associated Digital Swag Bag(s)
• Display Contributor's gift(s) as submitted for each purchased inclusion
• Handle Event registration, platform access, and attendee communications

Company reserves the right to:

• Determine the order, placement, and presentation of Digital Swag Bag items
• Remove any gift that violates this Agreement or Company brand standards
• Modify Event logistics, delivery methods, or access timelines as needed

Intellectual Property

Contributor retains all intellectual property rights to each submitted gift.

Contributor grants Company a limited, non-exclusive, non-transferable license to display and distribute each gift solely as part of the Digital Swag Bag for the specific Event associated with the purchased inclusion. This license begins on submission and ends at the close of the applicable Digital Swag Bag access period, except that Company may retain archival copies as reasonably needed for its records and to respond to any dispute.

Company may not sell, license, or distribute any gift outside the applicable Digital Swag Bag.

Contributor acquires no rights to Company intellectual property, branding, or other contributors' materials.

No Guarantees

Company makes no guarantees regarding:

• Event attendance
• Lead generation
• Email opt-ins
• Sales or conversions
• Return on investment

Contributor understands that results depend on multiple factors beyond Company's control.

Refunds & Cancellations

Digital Swag Bag inclusion fees are non-refundable, including when multiple Events are purchased in a single checkout.

Company may cancel or modify any Event at its discretion.

Confidentiality

Contributor agrees to maintain the confidentiality of:

• Pricing and participation terms
• Other contributors' information
• Non-public communications with Company

This obligation does not apply to information that is or becomes publicly available through no fault of Contributor, or that Contributor is legally compelled to disclose.

Independent Contractor Relationship

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. Contributor acts solely as an independent business.

Indemnification

Contributor agrees to indemnify, defend, and hold harmless Company and its officers, employees, contractors, and representatives from any claim, damage, loss, liability, or expense (including reasonable legal fees) arising out of Contributor's breach of this Agreement, Contributor's violation of any law, or any claim that a submitted gift infringes or misappropriates the intellectual property, privacy, publicity, or other rights of a third party.

Company will notify Contributor promptly of any such claim, and Contributor may participate in the defense at Contributor's own expense.

Limitation of Liability

To the maximum extent permitted by law, Company is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost income, lost profits, lost data, or lost business opportunity, arising out of or related to this Agreement or Contributor's participation in a Digital Swag Bag.

Where liability is established, the maximum aggregate amount recoverable from Company shall not exceed the total inclusion fees paid by Contributor for the Digital Swag Bag giving rise to the claim.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration conducted in Atlanta, Georgia. Contributor waives any right to participate in class arbitration or class action proceedings.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, representations, or agreements.

Sections 7, 10, 12, 13, and 14 survive the expiration or termination of this Agreement.
